                   THE CONSTITUTION OF THE NATIONAL AMATEUR ATHLETIC ASSOCIATION OF TRINIDAD AND TOBAGO 

                   ARTICLE 1 

                   THE  CONSTITUTION 

                   This Constitution shall be called the Constitution of the National Amateur Athletic Association of Trinidad and Tobago (hereinafter called
                   the "Constitution"). 
 

                    ARTICLE 2 

                   INTERPRETATION 
                   In this Constitution:- 

                   “Active Athlete” means a citizen of Trinidad & Tobago who having registered with the association, competes in a recognized event during
                   that year. 

                   “Athletic member” means an athlete who is a member of an active Group and who is registered in accordance with paragraph 3 (b) (1) of
                   Article 7 and includes an unattached athlete. 

                   “Association Rules” means the Rules made under Article 34. 

                   “Clubs” means club organizations; groups or other bodies by whatever name called and “club” shall be construed accordingly. 

                   “Local sports meeting” means a sports meeting at which athletes are competing who are not themselves representing a foreign country or a
                   club that is formed outside of Trinidad and Tobago. 

                   “International sports meeting” means a sports meeting at which among the competitors are athletes who are either representing a foreign
                   country or a club that is formed outside of Trinidad and Tobago. 

                   “Schools” means primary, secondary or tersary educational institutions, technical and vocational or other similar establishments or
                   institutions. 
 

                   “Youth Camps” means the male and female institutions established by the Government of Trinidad and Tobago and at which young persons
                   of either sex or both are trained in various skills and includes orphanages and “Youth Camp” shall be construed accordingly. 

                   “Reformatory Establishments” means institutions at which young persons whether male or female under the age of twenty-one years are
                   detained under legal authority or order for the purpose of reform and/or training and/or supervision and “Reformatory Establishment” shall
                   be construed accordingly. 

                   “Unattached athlete” is an athlete who is not a member of an active group but who is registered in accordance with paragraph 6 of Article
                   7. 
 

                   ARTICLE 3 

                   THE NATIONAL AMATEUR ATHLETIC ASSOCIATION OF 
                   TRINIDAD AND TOBAGO 
 

                   There shall be an Association, which shall be called the National Amateur Athletic Association of Trinidad and Tobago (hereinafter called
                   the “association”). 

                   ARTICLE 4 

                   AFFILIATION 

                   1. The Association shall be affiliated to the International Amateur Athletic 
                    Federation and such other amateur athletic organizations as the General   Council of the Association may deem fit. 

                   2. The Association shall be represented on the International Amateur Athletic   Federation by such number of members chosen by the
                   General Council as may  be permitted under the Rules of that Federation. 

                   3. Where the Association becomes an affiliate of any other amateur sports    organizations; the Association shall be represented by such
                   numbers as   members of the General Council shall appoint in accordance with the Rules of   that organization. 

                   4. The General Council may at any time and in its sole discretion remove any   person who is appointed under paragraph 2 or 3. 

                   5. The transportation and reasonable expenses incurred in the performance of his  duties by any member appointed under this Article shall
                   be borne by the    Association. 

                   ARTICLE  5 

                   JURISDICTION 

                   The Association shall be responsible for the following classes of amateur athletic sports: 

                   (1) Running, including hurdling, steeple chasing, obstacle racing, cross-country   running, and road running. 
                   (2) Walking. 
                   (3) Jumping and pole-vaulting. 
                   (4) Shot putting and discus, javelin, hammer and weight throwing. 
 
 
 

                   ARTICLE  6 

                   OBJECTS 
                   The objects of the Association are:- 

                   1. To encourage systematic physical exercise and education in Trinidad and   Tobago. 

                   2. To encourage, improve and promote athletic sports among organizations, and   persons, who engage in sport solely for pleasure, or for
                   the physical, mental or   social benefits they derive therefrom. 

                   3. To establish and maintain joint collaboration with any organization (not being a   member of the association) which is devoted to or is
                   formed wholly, partially or   otherwise for the promotion of physical culture or some other activity in athletic   Sport  generally, occasionally
                   or on a single occasion. 

                   4. To regulate, and promote the Annual Athletic Track and Field Road Running   and Cross-Country Championships of Trinidad and
                   Tobago. 

                   5. To establish and maintain throughout Trinidad and Tobago uniform rules for its 
                    members for the government of athletic sports. 

                   6. To encourage and promote the interest of, and to maintain discipline among its   members. 

                   7. To foster healthy rivalry in amateur athletic sports among its members and to promote National, International or other amateur athletic
                   sports from time to time. 

                   8. To arrange for or join with others in arranging and/or providing for the holding of courses for the instruction and teaching of amateur
                   athletic sports 

                   9. To foster the provision of public playgrounds, gymnasium, fields and other    amenities for amateur athletic sports in Trinidad and
                   Tobago. 

                   10. To do all such other things either alone or with others as may be necessary   and/or proper for the development, maintenance and
                   advancement of amateur   athletic sports in Trinidad and Tobago. 
 
 

                   ARTICLE  7 

                   MEMBERS 

                   1 Membership of the Association shall consist of the following classes:- 

                   a Active Group 
                   b Individual 
                   c Affiliate 
 
 
 
 

                   ARTICLE  7 

                   MEMBERS (continued) 

                   2 Subject to sub-paragraph (4).  Active Group membership shall be open to:- 
 

                   (a) Subject to sub-paragraph   (3) Clubs 
                   (b) Schools 
                   (c) Youth Camps 
                   (d) Reformatory Establishments; 
                   (e) The Police Service, The Fire Service, The Defense Force or any other military   or quasi-military organization established in Trinidad
                   and Tobago. 
 

                   3 A club shall not for the purposes of this Constitution be eligible for membership   as an active group member unless: 

                    It consists of at least twenty-five persons of whom at least fifteen to the    satisfaction and in the sole opinion of the General Council of the
                   Association   participate in any of the sporting activities specified in Article (5). 

                   4 candidate for active group membership shall Satisfy the following: 
                    Provide the Secretary of the Association with a list of at least 25 names and   addresses and dates of birth of the club’s Members annually
                   by 31 January. 
                    Provide the Secretary of the Association with a list of all new members with a   named photograph, proof of age, addresses and dates of
                   birth for each new   member. 
                    Provide the Secretary with: the names of the Officers of the Club, date of the   election of the Officers, full list of club members in
                   categories athletic and non   athletic members, annually by 31 January. 

                   5 Individual membership shall consist of the following classes:- 

                    (a) Athletic. 
                    (b) Ordinary. 
                   (c) Honorary. 
                   (d) Life 

                   6 (a) Athletic members shall register with the Association. 

                   (b) A person who fails to register with the Association shall be debarred from membership as an athletic member of the Association and
                   from participating in any sporting event of the Association or any active group or affiliate member of the Association. 

                   (c) Provided that he is financial, an athletic member shall be entitled:- 

                      (i) to attend the Annual General Meeting and Special General      Meeting of the Association; and 

                    (d) Where an athletic member is a person referred to at item (iv) of     paragraph 7 of Article 23 he shall be entitled to take part in the 
                   discussions relative to the particular matter with which he is directly     concerned and not otherwise; so however that such athletic
                   member    shall have no voting rights and that the number of such members so    participating does not exceed any two persons. 
 

                   7 (a) Ordinary members are those persons who desire to assist in the     promotion, improvement and advancement of amateur athletics
                   in     Trinidad and Tobago. 

                     (b) An Application for membership as an ordinary member shall be on the    standard form, which may be obtained from the Secretary of
                   the     Association.  Such application shall be proposed and seconded by any    two financial active/ordinary members of the Association. 

                    (c) The election of a person as an ordinary member shall be by a two-thirds    majority of the Executive Committee present voting by
                   secret ballot. 
 

                     (d) An ordinary member shall be entitled:- 

                     (i) to nomination on any committee or Council of the Association, and 

                     (ii) to attend the Annual General Meeting of the Association and to     take part in the deliberations of those Meetings; however that 
                   member shall not be entitled to vote. 

                      (e) Where a person has been elected as an ordinary member of the     Association but such person had been proposed or seconded by
                   an    unfinancial member of the Association that election shall be void. 
                   8.  (a) Honorary members are those persons who are elected by two-thirds    majority of Executive Committee present voting by secret
                   ballot. 

                     (b) An Honorary member shall be entitled to attend the Annual General    Meeting or Special General Meeting of the Association and to
                   participate    in the deliberations of those meetings but he shall neither be entitled to    vote at those meetings nor to hold office in the
                   Association nor to be a    member of the General Council or Executive Committee of the     Association. 

                    (c) A candidate for membership  as an honorary member shall be proposed    and seconded by any two financial active member of the
                   Association. 

                   (d) Where a person has been elected an honorary member of the     Association but such person had been proposed or seconded by an 
                   unfinancial member of the Association that election shall be void but any    deliberations or affairs of the Association in which that person
                   has     participated shall be valid for all purposes. 

                     (e) An honorary member may be dismissed from the Association by a two-   thirds majority of the General Council for any act or conduct
                   which in the    opinion of that council is inimical to be interest of the Association and in    such case the decision of that Council shall be final
                   to all intents and    purposes. 
 

                   9. (a)  Life members are those persons who were life member of either of the                       Athletic Associations of Trinidad & Tobago
                   prior to the formation of the National Amateur Athletic Associations of Trinidad & Tobago. 
                   (a)      Subject to Sup-paragraph (c) a life member shall be a life member for the               association for the remainder of his life and shall
                   be entitled to: 
                   i. nomination for any office in the Association; 
                   ii. Nomination on any Committee or Council of the Association; 
                   iii. Attend the Annual General, Special General, and General Council Meetings of the association and to take part in the deliberations of
                   those meetings; 
                   iv. To vote at all meetings at which he is entitled to participate. 
                   (c) which in the opinion of that Committee in inimical to the interest of the Association. The Executive Committee may suspend or dismiss
                   any life member for an act or conduct. 

                   10 (a) Affiliate membership shall be open to groups that represent specific                   complimentary areas of the athletic program. 

                   (b) The affiliate member shall submit the constitution of the group, with a request for affiliate membership to the executive of the association. 

                   (c)      The election of a group as an affiliate member shall be by a two-thirds        majority of the Executive Committee present voting by
                   secret ballot. 

                   (d)       An affiliate member may be dismissed from the Association by a two-thirds               majority of the General Council for any act or
                   conduct which in the opinion of that council is inimical to be interest of the Association and in such case the decision of that Council shall be
                   final to all intents and purposes. 

                   ARTICLE 8 

                   ATHLETES’  REPRESENTATIVES 

                   1.  The N.A.A.A. shall allow athletes to use the services of an authorized    Athletic Representative to assist athletes, in cooperation with
                   the     N.A.A.A.  , in the planning arranging and negotiation of their athletic    programs. 

                   2.  The N.A.A.A.  shall be responsible for the authorization of Athletes’     Representatives and shall have jurisdiction over Athletes 
                   Representatives acting on behalf of their athletes and over Athletes’    Representatives acting within their territory. 

                   3.  The N.A.A.A.  shall adopt the I.A.A.F.’s Guidance Note for I.A.A.F.     Members on the regulation of Federation / Athletes
                   Representatives. 

                   4.  The N.A.A.A.  shall not grant consent to any athlete to use an athletes'    representative, and no athletes’ representative shall be
                   authorized,     unless a written contract exists between the athlete and his      representative which contains the minimum terms set out in the
                   I.A.A.F.    Regulations concerning Federation / Athletes' Representatives. 

                   5.  The Executive Committee of the N.A.A.A. shall nominate one of its     executive Committee Members to monitor as required, and
                   report      annually on this provision. 
 

                   ARTICLE  9 

                   REPRESENTATION 
 

                   1      (a) The active group members  shall appoint delegates as set out hereunder                 to the Annual General Meeting and Special
                   Meeting of the Association as   follows:-  Each active group members entitled to two 

                    (b) Each delegate shall be entitled to one vote. 

                   2. (a) In the case of an active group member, a written notice is delivered    personally at the office of the Secretary of the Association by
                   an agent of   that Active Group Member within seven days of the date fixed for the    Annual General Meeting or Special General Meeting
                   of the Association; or

                   (b) In the case of an Active Member in Trinidad or Tobago a written notice is   forwarded by registered post to the Secretary of the
                   Association by that   Active group Member within fourteen (14) days of the date fixed for the Annual General Meeting or Special General
                   Meeting of the Association; and 

                   (c) An Active group member may cancel the appointment of a person as a delegate of that Active group member in writing to the secretary
                   of the Association. 
 
 
 

                   ARTICLE  10 

                   CANCELLATION OF REPRESENTATION 

                   1. (a) In the case of an Active group member a written notice is delivered personally at the office of the Secretary of the association by an
                   agent of the Active group  Member within seven days (7) of the date fixed for the Annual general meeting or Special General Meeting of the
                   Association; or 

                   (b) A written notice is forwarded by registered post to the Secretary of the Association by the Active group Member within fourteen (14)
                   days of the Annual general meeting or Special General Meeting of the Association; and 

                    (c) A like number of delegates are substituted in that written notice; 

                   (d) An Active group Member cancels the appointment of a person as a delegate of that Active Member. 
 
 
 
 
 
 

                   ARTICLE  11 

                   OFFICERS OF THE ASSOCIATION 

                   1. Subject as is hereinafter provided, the officers of the Association shall consist   of:- 

                     1. The President 
                     2. The Vice President Marketing & Finance 
                     3. The Vice President Technical 
                     4. The Secretary 
                     5. The Assistant Secretary 
                     6. The Treasurer 
                     7. The Public Relations Officer 
                   8. The Trustee Audit & Performance Records 
                   9. The Trustee Equipment 
                   10. Coaching & Development Officer 
                   11. Games & Competitions Officer 

                   2. No person other than an athlete, ordinary or life member shall be eligible for   nomination or appointment to any of the offices specified in
                   paragraph 1, and a   person may not be elected to more that one office at any one time 

                   3. Subject to Article 36 an officer of the Association shall, while he remains such   an officer, be exempt from the payment of fees to the
                   Association. 

                   4. An Officer of the Association shall, while he remains such an officer, be entitled   as of right to attend the Annual General Meeting or
                   Special General Meeting of   the Association. 

                   5. An elected Officer of the Association may be removed or suspended from office by the General Council or General Meeting for any act
                   or conduct, which in the opinion of that Council is inimical to the interest of the Association. 

                   6. In the event of his death or resignation or his suspension or removal from office by the General Council or General Meeting, the Council
                   shall elect a successor who shall hold office until the next Annual General Meeting. 

                   7. Where a person is removed or suspended from office in accordance with    paragraph 4, that person may appeal to the Annual General
                   Meeting or Special  General Meeting of the Association. 

                   8. A person who is removed from office shall, without prejudice to any other    sanctions that may be imposed against him, be debarred
                   from holding any of   the offices specified in paragraph 1 of Article 11. 
 
 
 
 
 
 
 
 
 

                   ARTICLE  12 

                   THE PRESIDENT 

                   1. He shall be elected at the Annual General Meeting by secret ballot.  He shall   hold office for three years thereafter, but shall be entitled
                   to seek reelection. 

                   2. Subject to this Constitution he shall preside over the Annual General Meeting (save where election to the office of President is being
                   taken), the Special General Meeting and all meetings of the General Council and Executive Committee. He shall carry out the duties of
                   president as outlined in the terms of reference in the rules of the association. 

                   3. Whenever he presides over the Annual General Meeting or Special General   Meeting of the Association or any meeting of the General
                   Council or Executive   Committee of the Association he shall have an original and a casting vote; so,   however, that he shall have only an
                   original vote when any of the     aforementioned bodies shall vote in respect of a disciplinary matter under this   Constitution or the
                   Association Rules. 
 
 
 

                   ARTICLE  13 

                   THE VICE PRESIDENT MARKETING & FINANCE 
                                            THE VICE PRESIDENT TECHNICAL 

                   1. They shall be elected at the Annual General Meeting by secret ballot.  They   shall hold office for three years thereafter, but shall be
                   entitled to seek 
                    reelection. 

                   2. Subject to this Constitution they shall preside over the Annual General Meeting and Special General Meeting of the Association and all
                   meetings of the General Council and Executive Committee of the Association according to selection by members present, in the absence or
                   default of the President. They shall carry out the duties of Vice President as outlined in the terms of reference in the rules of the association 

                   3. Whenever any vice president presides over the Annual General Meeting or   Special General Meeting of the Association or any meeting
                   of the General   Council or Executive Committee of the Association he shall have an original   and a casting vote so however that he shall
                   have only an original vote when   any of the aforementioned bodies shall vote in respect of a disciplinary matter   under  this constitution or
                   the Association Rules. 

                   4. They shall be responsible for the day to day management of the business of   the association in liaison with the Secretary. 
 
 
 
 
 
 

                   ARTICLE  14 

                   THE SECRETARY 

                   1. The Executive Committee shall appoint him.  He shall be paid such expenses incurred, as may be fixed by the Executive Committee.  He
                   shall He shall carry out the duties of Secretary as outlined in the terms of reference in the rules of the association including: 
 

                     (a) Supervise the operations of secretariat of the Association. 

                     (b) Keep a roll of all the members of the Association (hereinafter     called the “Members Roll”) 

                     (c) be responsible for the day-to-day management of the business of     the Association, in liaison with the President & Vice Presidents; 

                     (d) convene the Annual and Special General Meetings of the      Association and the meetings of the Executive Committee and      General
                   Council; attend thereat and keep records of the       proceedings thereof; 

                     (e) submit to the Treasurer of the Association a monthly statement of     all receipts and disbursements together with supporting 
                   documents; 

                     (f) do and perform all such other things and obey all such instructions    ,         which he may be required to so, perform or obey for the
                   proper      management of the affairs of the Association. 

                   2. He shall hold office during the pleasure of the Executive. 

                   3. In the event of his death or resignation or his suspension or removal from office   by the Executive Committee, that Committee shall elect
                   a successor who shall   hold office until the next Annual General Meeting. 

                   4. If he is removed from office for conduct which in the opinion of the Executive 
                    Committee is inimical to the interest of the Association; he shall without    prejudice to any other sanctions that may be imposed against him
                   be debarred   from holding any of the offices specified in paragraph 1 of Article 11. 
 
 

                   ARTICLE  15 

                   THE ASSISTANT SECRETARY 

                   1. He shall be appointed by the Executive Committee. He shall be paid such expenses incurred, as may be fixed by the Executive
                   Committee. He shall carry out the duties of Assistant Secretary as outlined in the terms of reference in the rules of the association including: 

                   2. He shall assist the Secretary in the performance of his duties. 

                   3. He shall hold office during the pleasure of the Executive. 

                   4. In the event of his death or resignation or his suspension or removal from office   by the Executive Committee, that Committee shall elect
                   a successor who shall   hold office until the next Annual General Meeting. 

                   5. If he is removed from office for any act or conduct which in the opinion of the   Executive Committee is inimical to the interest of the
                   Association, he shall   without prejudice to any other sanctions that may be imposed against him, be   debarred from holding any of the
                   offices specified in paragraph 1 of Article 11. 
 
 

                   ARTICLE  16 

                   THE TREASURER 

                   1. He shall be elected at the Annual General Meting by secret ballot.  He shall   hold office for three years thereafter, but shall be entitled to
                   seek reelection. 

                   2. He shall be responsible for ensuring that the funds of the Association and any disbursements from any such funds are safely kept and
                   recorded. He shall carry out the duties of Treasurer as outlined in the terms of reference in the rules of the association. 

                    (a) Monthly statements of Income and Expenditure and Balance Sheet for    the Executive Committee; 

                    (b) Quarterly Statements for the General Council: and 

                    (c) Annual Statements of Income and Expenditure and the Annual Balance    Sheet of the Association as at the 30th day of September of
                   each year, 
                     which shall be, audited and certified by the Auditor and submitted to the    next Annual General Meeting. 

                   . 
 

                   ARTICLE  17 

                   THE PUBLIC RELATIONS OFFICER 

                   1. He shall be elected at the Annual General Meeting by secret ballot.  He shall   hold office for three years thereafter but shall be entitled to
                   seek reelection. 

                   2. He shall act as the liaison between the Association and the public and shall, for this purpose, be responsible for the dissemination to the
                   public of all information relating to the business of the Association. He shall carry out the duties of Public Relations Officer outlined in the
                   terms of reference in the rules of the association. 
 

                   3. In the exercise of his powers and in the performance of his duties he shall   confirm with such general and special, direction that may be
                   given to him by the  executive Committee from time to time 
 
 

                   ARTICLE  18 

                   THE TRUSTEES 

                   1. There shall be elected at the Annual General Meeting by secret ballot. They   shall hold office for three years thereafter but shall be
                   entitled to seek reelection. 

                   2. They shall be responsible for endorsing all cheques for withdrawals from the accounts of the Association. They shall carry out the duties
                   of Trustee outlined in the terms of reference in the rules of the association. 
 
 
 
 
 
 
 

                   ARTICLE  19 

                   THE COACHING & DEVELOPMENT OFFICER 
                   THE GAMES & COMPETITIONS OFFICER 

                   1. They shall be elected at the Annual General Meeting by secret ballot.  They shall hold office for three years thereafter, but shall be
                   entitled to seek reelection. 

                   2. They shall be responsible for the operations of the events under their portfolio. They shall carry out the duties of these officers as outlined
                   in the terms of reference in the rules of the association. 
 
 

                   ARTICLE  20 

                   THE AUDITORS 

                   1.  The Auditors shall be appointed by the Executive Committee. 

                   2. They shall be responsible for auditing the financial records of the Association   for each financial year and reporting on their findings to the
                   Annual General   meeting. 

                   3. They may advise the Executive on matters of Accounting Procedure. 
 
 
 
 

                   ARTICLE 21 

                   THE GENERAL COUNCIL 

                   1. The Government and general direction of the affairs of the Association shall be   vested in the General Council (hereinafter in this Article
                   called "the Council"). 

                   2. The Council shall be constituted as follows:- 

                    (a) All the officers listed in paragraph 1 of Article 11. 
                    (b) A representative of each Active Member. 

                   3. In addition to the rights and powers granted to the Council elsewhere in this   constitution, the Council shall have power:- 

                    (a) To act alone or together with individuals or other bodies in the interest of    amateur athletic sports. 

                    (b) To arrange whenever practicable for visits to Trinidad and Tobago of    athletes, coaches or officials. 

                    (c) To arrange whenever practicable for visits abroad of athletes, coaches or   officials from Trinidad and Tobago. 

                    (d) To make representations to Government, Municipal Local and other    authorities and to private bodies on any matter which in the
                   opinion of the   Council affects amateur athletic sports. 

                    (e) To appoint representatives of the Association or other Organizations. 

                    (f) To suspend or dismiss any member of the Council who is guilty of any    act or conduct which in the opinion of the Council is inimical to
                   the     interest of the Association. 

                    (g) To fix date for the Annual General Meeting. 

                   4. (a) The council shall hold a regular meeting in the months of January,    March, May, June and October of each year and may hold a
                   special    meeting whenever necessary for the performance of any duties or     functions imposed by this Constitution or the Association
                   Rules. 
 

                    (b) A special meeting of the Council may be called by the President at any    time or by a requisition delivered to the Secretary and signed
                   by any of    the twelve members of the Council or by any four active members. 

                   (c) Where a meeting is requisitioned under paragraph (b) the Secretary shall dispatch notice to members and summon that meeting within
                   fourteen days of the receipt of the requisition and in the case of a meeting called by the President shall give at least seven days prior notice
                   to all the members of the Council. 

                   5. Subject to Article 30 at any meeting of the Council fifteen persons shall constitute a quorum. Were there is no quorum the meeting may
                   be reconvened within fourteen days with the number present forming the quorum. 

                   6. All Resolutions and Decisions of the Council shall be binding upon all active,   affiliate and individual members of the Association until
                   such Resolutions or   Decisions are rescinded or varied in accordance with the Constitution or the   Association Rules. 

                   7. The Council shall declare vacant the position of any member of the Council: 

                     (i) who has been dismissed form the Council for any act or conduct which 
                     in the opinion of the Council is inimical to the interest of the Association,     or to any active or affiliate member of the Association; 

                   8. (a) A member of the Council who is suspended or dismissed by the Council    may appeal to the Annual General Meting or a Special
                   General Meeting    of the Association. 

                    (b) A member of the Council who is suspended by the Council shall not    during the period of his suspension be entitled to take part in
                   the     deliberations of the Council. 

                   9. In the exercise of its powers and in the performance of its duties, the Council   may delegate any of its functions to any of its members
                   except so far as such   delegation may be prohibited either expressly or by implication by the    Constitution or the Association Rules or may
                   not be in conformity with express   provisions of the Constitution or the Association Rules. 
 
 
 

                   ARTICLE 22 

                   THE EXECUTIVE COMMITTEE 

                   1. The general management of the affairs of the Association shall be vested in the   Executive Committee (hereinafter in this Article called
                   "the Committee"). 

                   2. The Committee shall be constituted as follows:- 

                     (i) All the officers listed in paragraph 1 of Article 11. 
 

                   3. In addition to any other duties entrusted to it elsewhere in this Constitution, the   duties of the Committee are:- 

                      (i) To deal with all applications for membership in the Association. 

                     (ii) To control the finances of the Association. 

                    (iii) To consider the Annual Report of the Treasurer on the Accounts of the    Association and to ensure that such Report is audited by the
                   Auditor and    circulated by the Secretary of the Association to all members prior to the    Annual General Meeting of the Association. 

                     (iv) To organize and monitor all functions for and on behalf of the     Association and organize and manage same as required 

                      (v) To keep a Register of all amateur athletes in Trinidad and Tobago. 

                     (vi) To arrange for competitors to represent Trinidad and Tobago at all    meetings, appoint a coach and if necessary provide for the
                   management    of competitors so selected. 

                   (vii) To compile in the month of October of each year and to circulate among    all members of the Association a "Fixtures List" of all
                   amateur athletic    sports meetings which it is proposed to hold in Trinidad and Tobago in    the following year. 

                            (viii) To submit a copy of the minutes of all its meetings to the General Council. 

                              (ix) To exercise disciplinary control over all members. 

                   4. In addition to any other powers granted to it elsewhere in this Constitution the   Committee shall have power:- 

                    (a) To examine and report on the finance and/or the workings of any active    or affiliate member if requested so to do by the General
                   Council. 

                    (b) To promote athletic meetings and other competitors severally or jointly    with others for and on behalf of the Association. 

                    (c) To appoint representatives not exceeding two in number to act as     observers at all open athletic meetings held in Trinidad and Tobago
                   by    any active or affiliate member. 

                    (d) To suspend or dismiss any member of the Committee who is guilty of any   act or conduct which in the opinion of the Committee is
                   inimical to the    interest of the Association or of any active or affiliate member of the    Association. 

                   5. In the exercise of its powers and in the performance of its duties the Committee   may delegate any of its functions to any of its members
                   except so far as such   delegation may be prohibited either expressly or by implication by the    Constitution or the Association Rules or may
                   not be in conformity with the   express provisions of the Constitution or the Association Rules. 

                   6. (a) The Committees shall hold a monthly meeting and may hold a    special meeting whenever necessary for the performance of any 
                   duties of functions imposed by this Constitution or the Association Rules. 

                    (b) A Special Meeting of the Committee may be called by the President at    any time or by a requisition delivered to the Secretary and
                   signed by four   members of the Committee. 

                   (c) Where a meeting is requisitioned under sub-paragraph (b) the Secretary shall summon that meeting within fourteen days of the receipt of
                   the requisition and in the case of a meeting called by the President shall give at least seven days prior notice to all the members of the
                   Committee. 

                   7. Subject to Article 30, at any meeting of the Committee, five (5) persons shall constitute a quorum. Were there is no quorum the meeting
                   may be reconvened within fourteen days with the number present forming the quorum. 

                   8. The Committee shall declare vacant the position of any member of the    Committee who has been dismissed from the Committee for any
                   act or conduct   which in the opinion of the Committee is inimical to the interest of the    Association or any active or affiliate member of the
                   Association. 

                   9. (a) A member of the Committee who is suspended or dismissed by the    Committee may appeal to the Annual General Meeting or a
                   Special    General Meeting. 

                    (b) A member of the Committee who has been suspended by the Committee   shall not during the period of his suspension be entitled to
                   take part in the   deliberations of the Committee. 

                    (c) At the first meeting of the Executive Committee after the Election of    Officers of the Association the following sub committees shall
                   be     established from the association’s membership or persons interested in    the furtherance of the Associations objectives. The
                   committees shall be    chaired by one of the officers, who is a member of that committee. 

                    The Committees are:- 
                      (i) Coaching Committee 
                     (ii) Road Running, Race Walking, and Masters Committee 
                    (iii) Records Committee 
                     (iv) Strategic Planning and Marketing Committee 
                      (v) Fund Raising Committee 
                     (vi) Selection Committee 
                   (vii) Games and Technical Committee 
                   (viii) Women’s Affairs Committee 

                    These Committees shall comprise of five (5) members including the Chairman   who shall be the Conveyer. 

                    The Committee shall have power to co-op other persons to assist in their plans. 

                    The Committee shall have powers to recommend the removal of members. 
 

                   Members of those committees may be selected from persons who are interested in promoting Track and Field Athletics. All decisions of the
                   Committees must be approved by the Executive Committee or the General Council of the Association. 
 
 
 
 
 
 
 
 

                   ARTICLE  23 

                   MEETINGS 

                   A THE ANNUAL GENERAL MEETING 

                   1. The Annual General Meeting of the Association shall be held in the month of   November on a date fixed by the General Council but may
                   be adjourned from   day to day or to any day up to a maximum of sixty days. 

                   2. The Secretary of the Association shall give twenty-one days prior notice of the   Annual General Meeting. 

                   3. At the Annual General Meeting twenty-five persons consisting of officers and delegates shall form a quorum. Were there is no quorum
                   the meeting may be reconvened within fourteen days with the number present forming the quorum. 

                   4. The following shall be the Agenda at the Annual General Meeting: 

                    (a) Roll Call 
                    (b) Reading of notices covering the Meeting 
                    (c) President’s Address 
                    (d) Confirmation of minutes of the previous Annual General Meeting 
                    (e) Business arising from the previous Annual General Meeting 
                    (f) Secretary’s Report for the previous year 
                    (g) Report of the Auditors of the Association for the previous year 
                    (h) Other matters 
                    (i) Any ordinary business notice of which has been received by the      Secretary of the Association under paragraph 5 
                    (j) Election of officers of the Association other than the Secretary and the     Assistant Secretary 

                   5. Any active or affiliate member may by notice in writing addressed to the    Secretary of the Association not later than twenty-eight (28)
                   days before the   date fixed for the Annual General Meeting request that any matter be placed on   the Agenda for the Annual General
                   Meeting and the Secretary of the    Association shall include such matters in the Agenda for that Meeting. 

                   6. The Secretary shall forward a copy of the Agenda to all financial members not   later than ten (10) days before the date fixed for the
                   Annual General Meeting. 
 
 
 
 

                   (B) SPECIAL GENERAL MEETING 

                   7. Subject to paragraph 8 and 9 if:- 

                      (i) the General Council by simple majority so resolves; or 
                     (ii) the Executive Committee by simple majority so resolves; or 
                    (iii) any ten financial active members by written notice to the Secretary of the    Association so request; or 
                     (iv) any twenty-five individual athletic members not being officers of the    Association by written notice to the Secretary of the Association
                   so    request. 

                    The Secretary shall within fourteen days from the date of such resolution    or written convene a Special General Meeting of the
                   Association and for this   purpose shall give at least seven (7) days notice of such meeting together with   particulars of the matter which is
                   proposed for discussion to all financial    members. 

                   8. The provisions of paragraph 7 shall not apply to any resolution or request taken  or made in the months of October or November. 

                   9. Where a request is made by individual members under item (iv) of paragraph 7,   such members shall be financial except where such
                   members are life members   or honorary members; so however, that not more than three of any such    members either alone or jointly may
                   be included in the total number required   under that item. 

                   10. A Special General Meeting of the Association shall also be convened by the Secretary of the Association whenever necessary for the
                   performance of any duties imposed by or under this Constitution and in any such case the Secretary shall given at least seven (7) days
                   notice to all financial members together with particulars of the matters which is proposed for discussion. 

                   11. At any Special General Meeting Twenty five (25) persons consisting officers and delegates shall form a quorum. Were there is no
                   quorum the meeting may be reconvened within fourteen days with the number present forming the quorum. Representation and/or
                   attendance at such meeting shall be in accordance with this Constitution. 
 

                   ARTICLE  24 

                   VOTING 

                   Except where otherwise expressly stated voting at any meeting of any Committee or Council of the Association or at the Annual General
                   Meeting or Special General Meeting of the Association shall be by a simple majority of votes cast by a show of hands unless a majority of
                   the members present demand a ballot. 

                   ARTICLE  25 

                   VACANCIES 

                   No vacancy on any Committee or Council of the Association shall render the proceeding of such Committee or Council invalid by reason of
                   such vacancy. 
 
 
 
 
 
 
 

                   ARTICLE  26 

                   BANK ACCOUNTS 

                   1. All monies or cheques belonging to our received for and on behalf of the    Association shall be deposited in a Current Account with one
                   or more Banks as   the Executive Committee shall from time to time determine. 

                   2. Subject to paragraph 4 all withdrawals from such Bank or Banks shall be   authorized by the Executive Committee or in cases of
                   emergency by the    President (whether substantive or acting) and a Vice President. 

                   3. Where a withdrawal has been authorized by the President and Vice President,   the President shall submit a full report thereon to the
                   earliest meeting of the   Executive Committee. 

                   4. No cheques shall be drawn on the accounts of the Association unless such  cheque is endorsed by at least two trustees, or the Treasurer
                   and one Trustee or subject to Paragraph 2, or President and Treasurer or one Trustee. 
 

                   ARTICLE  27 

                   FEES 

                   1. The fees payable to the Association shall be for Group members, individual members and Affiliate members as outlined in the Rules of
                   the Association 

                   2.   (i) The fees shall be payable in advance by the 31st January in each year. 

                   (ii) Active group and affiliate members shall be responsible for the collection and/or deposit of all fees with the Secretary of the Association
                   in respect of each of their athletes or on behalf of themselves as the case may be. 

                    (iii) Unattached athletes and ordinary members shall pay their fee directly to     the Secretary of the Association. 

                   (iv) Where the fee of any athletic or ordinary member has not been paid either through his active group member, the appropriate affiliate
                   member or directly to the Secretary of the Association, the Executive Committee may direct that the name of such member be struck off the
                   Members’ Roll. 

                   3.   (i) A person who has been struck off the Members’ Roll shall not be      permitted to participate in any deliberations of the Association
                   at any     level and, if he is an athletic member, he shall also be debarred from     participating in any sports meeting or sporting event
                   organized by the     Association or any member thereof. 

                   (ii) Any active group member or affiliate member who knowingly allows an athletic member who has been struck off the Members’ Roll to
                   participate in any  sports meeting or sporting event organized by that group or affiliate member or any other active affiliate member of the
                   Association shall be liable to expulsion by the Executive Committee form the Association. 

                    (iii) Subject to paragraph (iv) any athletic or ordinary member who has been     struck off the Members’ Roll for non-payment of fees shall
                   upon the     discharge of all his liabilities to the Association (appropriate) be      automatically reinstated in the Association. 

                     (iv) An athletic member:- 

                     (a) who has been struck off the Members’ Roll for non-payment of     fees; and 

                   (b) who, while he is still not on the Members’ Roll participates in any sports meeting or sporting event of any active group or affiliate
                   member; shall not be entitled to automatic reinstatement in the Association upon the discharge of all his liabilities to the Association but his
                   reinstatement  shall be subject to such conditions including the date of its commencement as the Executive Committee shall in its sole
                   discretion determine. 

                   4. The executive committee shall approve the list of all members for the association at its statutory meeting and confirm same to the general
                   council at its meeting prior to the Annual General Meeting. 
 
 
 

                   ARTICLE  28 

                   SPORTS MEETING 

                   1. Unless application is made to and approval is first obtained from the Executive   Committee of the Association, no member may promote
                   and no member may   participate in any way in any open sports meeting whether local or international. 

                   2. A fee to be known as a ‘sanction fee’ shall be charged by the Executive    Committee and shall accompany all applications made under
                   paragraph 1. 

                   The fees payable to the Association for local sports meetings & international sports meetings shall be as outlined in the Rules of the
                   Association. 

                   3. Any member who contravenes paragraph 1 shall be liable to disciplinary action   by the Executive Committee of the Association. 

                   4. Where an application has been refused under paragraph 1, the sanction fee   shall be refunded. 

                   5. An application under paragraph 1 may be refused for any one or more of the   following reasons:- 

                    (a) Where the Executive Committee has reserved or intends to reserve the    date of the proposed sports meeting for a similar meeting of
                   the     Association. 

                    (b) Where an application for a sports meeting has already been granted by     the Executive Committee to another member in respect of the
                   same date. 

                    (c) Where the applicant is subject to disciplinary action or it is or its athletic    members are unfinancial. 

                   6. Where more than one application is received in respect of a local sports    meeting for the same date, and the applicants are not subject
                   to disciplinary   action and their athletic members are financial, the Executive Committee shall   determine the matter by the drawing of lot. 

                   7. Where more than one application is received in respect of an international   sports meeting for the same date and the applicants are not
                   subject to    disciplinary action and their athletic members are financial, the Executive   Committee shall in its sole discretion determine the
                   matter. 

                   8. Subject to paragraph 11 no person who is not an athletic member of the    Association shall be permitted to complete in any local sports
                   meeting or    international sports meeting of the Association or any member of the    Association. 

                   9. An athletic member who is unfinancial shall not be permitted to compete in any   local sports meeting or international sports meeting of
                   the Association or any   member of the Association whether such meeting is staged either alone or by a   combination of members or by the
                   Association in combination with another not   being a member of the Association 

                   10. Subject to paragraph 11 any member who knowingly permits a person who is  not an athletic member of the Association or who being
                   such a member is unfinancial to compete in any local sports meeting or intention sports meeting of  the Association or any member of the
                   Association staged in any of the circumstance described in paragraph 9 shall be liable to expulsion from the  Association. 

                   11. Paragraphs 8 and 10 do not apply to:- 

                    (a) a person who is an accredited representative of a foreign country or a    club formed outside of Trinidad and Tobago at any sports
                   meeting of the    Association or any member of the Association notwithstanding the     circumstances under which that sports meeting is
                   staged or the     arrangements for the staging of such sports meeting; or 

                    (b) a person who is not an athletic member of the Association but who is    competing in a class of sport over which the Association does
                   not claim    jurisdiction under Article 6 at any sports meeting staged by the     Association or any member of the Association either alone or
                   by a     combination of members or by the Association in combination with     another not being a member of the Association. 

                   12. All track and field athletics shall be conducted under the Association Rules, the   Competition Rules of the International Amateur
                   Athletics Federation and/or the   Rules of such other amateur athletic organization as the General Council may   from time to time
                   determine. 

                   13. No sanction fee shall be payable whatsoever if:- 

                    (a) Admission to any sports meeting or game is free; or 

                    (b) A sports meeting or game is promoted by one active group member and    participation at such meeting or game is restricted solely to
                   members of    that active group member, or 

                    (c) A sports meeting or game is confined to a school or schools and     participation at such meeting or game is restricted solely to present
                   and    for past students of such school or schools. 
 

                   ARTICLE 29 

                   PRIZES AND AWARDS 

                   1. No single prize shall exceed in value such sum as may be fixed from time to   time by the International Amateur Athletic Federation. 

                   2. Special Awards to Amateur Athletes in recognition of a performance shall not   exceed in value the amount so fixed under paragraph 1. 
 

                   ARTICLE 30 

                   DISCIPLINE 

                   A. PROCEDURE, INQUIRIES AND PENALTIES 

                   1. Where any member or officer has been charged for a breach of any of the   provisions of this Constitution or the Association Rules the
                   procedure shall be   as follows in all cases:- 

                   (a) A copy of the charge together with particulars thereof shall be sent by the   Secretary of the Association to the member or officer.  Such
                   member or    officer shall be given not more than seven (7) days to notify the Secretary   in writing whether he or it selects either to submit
                   his or its reply to the    charge in writing or to appear before the particular disciplinary body in    his or its defense. 

                     (b) If the member or officer elects to reply to the charge in writing he      shall do so within twenty-one (21) days from the period specified
                   in item (a). 

                   (c) Where the member is an active group or affiliate member and such member elects to appear before the disciplinary body in its defense
                   may be represented by not more than two of its accredited representatives; so however that the decision of the particular disciplinary body
                   shall not be invalid by reason that any person was not a duly accredited representative of that member. 

                     (d) If the member or officer does not submit his or its notification to the     Secretary of the Association within the time specified in item (i)
                   the     Secretary shall notify the particular disciplinary body and that body shall     determine the matter and shall impose any of the penalties
                   specified in item (m). 

                      (e) If the member or officer admits the charge the particular disciplinary body    shall impose any of the penalties specified in item (m). 

                    (f) If the member or officer does not admit the charge and elects to appear    before the particular disciplinary body in his or its defense,
                   that body    shall hear the evidence and shall determine the matter accordingly; 

                   (g) Subject to item (h) the quorum of a disciplinary body impaneled for the    purpose of this paragraph shall consist of eight person in the
                   case of the    General Council; 

                              (h) In any case where the Executive Committee or the General Council is the   disciplinary body the President shall:- 

                     (i) preside as of right over that Committee or Council; 
                     (ii) be in addition to the persons specified in item (g) and 
                   (iii) have only an original vote; so however that where the President is personally involved he shall be replaced by a Vice President; elected
                   by simple majority of the executive present, who is not himself personally involved in the matter. 

                     (i) Where a Vice President is substituted for the President he shall have an     original vote only. 

                      (j) Where the President and all the Vice Presidents are personally involved     in the matter the disciplinary body shall elect a Chairman
                   from among its     members and that Chairman shall continue to have a vote. 

                     (k) If any disciplinary body is equally divided or that body finds that the     charge has not been proved the member or officer shall be
                   exonerated. 

                    (l) Where an officer has been exonerated no appeal shall lie.

                              (m) If any disciplinary body finds that the charge has been proved that body     may, subject to this Constitution, impose any one of
                   the following penalties:- 

                     (i) Reprimand 
                     (ii) Fine as set out in the rules of the Association. 
                     (iii) Suspension 
                     (iv) Dismissal 
 
 
 

                   B. APPEALS 
 

                   1. Where a member or officer has admitted to the charge no appeal shall lie. 

                   2. Where a member is aggrieved by the decision of the Executive Committee that   a member may appeal to the General Council by lodging
                   a notice of appeal   with the Secretary of the Association within fourteen (14) days from the date of   that decision. 

                   3. Where an appeal lies to the General Council elsewhere under this Constitution   that appeal shall be made by lodging a notice of appeal
                   with the Secretary of   the Association within fourteen (14) days from the date of that decision. 

                   4. Subject to paragraph 10, twelve persons shall constitute a quorum whenever   the General Council meets to hear an appeal. 

                   5. Where under this Constitution an appeal against a decision lies to the Annual   General Meeting or Special General Meeting of the
                   Association that appeal   shall be instituted by lodging a notice of appeal with the Secretary within    fourteen (14) days from the date of that
                   decision. 

                   6. Where an appeal is heard either by the General Council or by the Annual   General Meeting or Special General Meeting of the
                   Association it may quash,   vary or affirm the decision appealed against and where it varies a decision it   may impose any of the penalties
                   specified in item (m) of paragraph A 1. 

                   7. Where on an appeal the General Council or the Annual General Meeting or   Special General Meeting is equally divided the appeal shall
                   be regarded as   ending in favor of the appellant and the decision appealed against shall be   quashed. 

                   8. The President shall:- 

                      (a) preside as of right over the General Council, the Annual General Meeting   of the Association whenever any of those bodies is
                   constituted to hear an   appeal; 

                     (b) in the case of the General Council be in addition to the persons specified   in paragraph 4; 

                    (c) have only an original vote; 

                     so however that where the President is personally involved he shall be    replace by the most senior of the Vice Presidents who is not
                   himself    personally involved in the matter. 

                   9. Where a Vice President is substituted for the President he shall have an original vote only. 

                   10. Where the President and all the Vice Presidents are personally involved in the   matter the General Council or the Annual General
                   Meeting or the Special   General Meeting as the case may be shall elect a Chairman from among its   members and that Chairman shall
                   continue to have a vote. 

                   11. Where the General Council or the Annual General Meeting or the Special  General Meeting of the Association hears and determines an
                   appeal the decision of the Council or the Annual or Special General Meting shall be final to all intents and purposes. 
 
 
 
 
 

                   ARTICLE 31 

                   DISPUTES 

                   1. All disputes shall be determined at the level of the Association. 

                   2. Where any dispute arises which cannot be dealt with elsewhere under this   constitution or the Association Rules, such dispute shall, if
                   any of the parties so   request, be reported promptly and not later than seven (7) days from the date of   such request to the Secretary of
                   the Association who shall refer the matter to a   tribunal (hereinafter called “the Disputes Tribunal”). 

                   3. The Disputes Tribunal shall consist of:- 

                     (i) A Chairman who shall be chose by the President of the Association; and 

                    (ii) Two members one of whom shall be chosen by each party. 

                   4. The Disputes Tribunal may make such rules for their own guidance including   the conduct and management of the inquiry into such
                   dispute, as they may from   time to time think fit. 

                   5. The decision of the Disputes Tribunal may be by majority and shall be final to all  intents and purposes. 
 

                   ARTICLE 32 

                   STATUS AND REINSTATEMENT 

                   A. DEFINITION OF AN ELIGIBLE ATHLETE 

                   1. An athlete is one who abides by the eligibility rules of the I.A.A.F. 

                   2. Competition under the Jurisdiction of the Association is restricted to   athletes who are eligible to compete under I.A.A.F. Rules. 
 

                   B. REINSTATEMENT 

                   1. Subject to I.A.A.F. rules and upon application addressed to the Secretary of the Association and accompanied by a fee specified in the
                   rules of the association a person who has ceased to be eligible to compete under I.A.A.F. Rules may seek to be reinstated as an eligible
                   athlete. 

                   2. All applications for reinstatement shall be dealt with by the  Executive    Committee of the Association. 

                   ARTICLE 33 

                   COMPETITION AND OUT OF COMPETITION DOPING CONTROL 

                   1. (a) The N.A.A.A. shall conduct out of Competition doping control and report    on same annually to the A.G.M. and the I.A.A.F. 

                    (b) The N.A.A.A. shall allow the I.A.A.F. to conduct doping control at the    Associations Championships or any similar Meeting. 

                    (c)  The N.A.A.A. shall allow the I.AA.F. to conduct out of  Competition doping   control on athletes of the N.A.A.A. 

                    (d) The Executive of the N.A.A.A.  shall nominate one of its Vice Presidents    to monitor review as required, and report annually on
                   Doping control. 

                   2. (A) The Association shall follow the guidelines of the I.A.A.F. on disciplining    members found guilty of infringing doping control
                   regulations. 
 

                   ARTICLE 34 

                   THE ASSOCIATION RULES 

                   1. The General Council may make Rules for the guidance of all members and   officers of the Association and such rules shall be called the
                   “Association Rules” 
 

                   2. The General Council may amend, repeal or add to the Association Rules    provided that such amendment, addition or repeal:- 

                     (i) is not inconsistent with this Constitution or the Rules of the International    Amateur Athletic Federation or any other Organization to
                   which the     Association is affiliated; and 

                    (ii) is passed by two-thirds majority of the members present and voting. 

                   3. Any Rule made under paragraph 1 or 2 or any repeal which is inconsistent with   this Constitution or the Rules of the International
                   Amateur Athletic Federation or   any other organization to which the Association is affiliated shall be ultra vires   null and void and of no
                   effect. 
 
 

                   ARTICLE 35 

                   INTERPRETATION OF THE CONSTITUTION AND 
                   THE ASSOCIATION RULES 

                   1. Where any dispute arises as to the meaning and/or effect of the provisions of   the Constitution or the Association Rules and a decision
                   thereon is desired,   such dispute shall be referred to the General Council of the Association. 

                   2. Where the General Council of the Association determines any matter under   paragraph 1 the decision of that Council shall be final to all
                   intents and    purposes. 
 
 
 
 

                   ARTICLE 36 

                   LIABILITY 

                   1. If any liability is attached to any member or officer of the Association by any   court for any act done in the performance of any duty or
                   function under this   Constitution or the Association Rules or for any act done, for or on behalf of the   Association or any Committee or
                   Council of the Association, such liability shall   be borne out of the funds of the Association. 

                   2. Notwithstanding any other provision to the contrary where the Association has   no money or not sufficient money, the liability of any
                   member or officer shall be   met by a levy which shall be charged upon all members and officers of the   Association in such amount as the
                   Executive Committee shall in its sole    discretion determine. 

                   3. Where any member of officer fails to pay his levy to the Secretary of the    Association within twenty-eight (28) days from the date upon
                   which notice of   such levy has been served personally or otherwise upon him, the Executive   Committee may not withstanding any other
                   provision to the contrary direct that   the name of such member or officer be struck off the Members’ Roll. 

                   4. Where a person has been struck off the Members’ Roll for non-payment of a   levy under this Article he shall not be readmitted to
                   membership of the    Association unless without prejudice to any other sanctions he first pays the   outstanding levy. 
 

                   ARTICLE 37 

                   BINDING AGREEMENT 

                   Membership in the Association binds all members and officers jointly and severally to all the provision of this Constitution and the
                   Association Rules. 
 
 
 
 
 

                   ARTICLE 38 

                   AMENDMENT OF THE CONSTITUTION 

                   1. Subject to paragraphs 4, 5 and 6, this Constitution may be amended by a two-thirds majority of the members at the Annual General
                   Meeting or a Special General Meeting of the Association convened for that purpose. 

                   2. All motions for the amendment of the Constitution shall:- 

                    (a) be in writing; 

                    (b) be addressed to the Secretary of the Association; and 

                    (c) in the case where the amendment is proposed for the Annual General    Meeting shall be delivered to the Secretary of the Association
                   at least    twenty-eight (28) days before the meeting. 

                   3. All motions for the amendment of the Constitution shall be specific and where   necessary shall:- 

                    (a) refer to the particular Article and paragraph (if any); 

                    (b) in the case of a deletion and replacement or a deletion alone specify the    words which it is proposed should be deleted and the new
                   words (if any)    and quote the Article or paragraph as the case may be in the form such    or paragraph would take after such deletion and
                   replacement or such    deletion alone; 

                    (c) in the case of a completely new provision quote the new provision. 

                   4. No amendment shall be made to the Constitution which is inconsistent with the   Rules of the International Amateur Athletic Federation or
                   any other organization   to which the Association is affiliated and any such amendment shall be ultra   vires, null and void and of no effect. 

                   5. No amendment shall abrogate, abridge or infringe or authorize the abrogation,   abridgment or infringement of the provisions of Article 36
                   and 37 and any such   amendment shall be ultra vires, null and void and of no effect. 

                   6. The provisions of paragraphs 4 and 5 of this paragraph shall be entrenched. 
 

                   ARTICLE 39 

                   THE SEAL OF THE ASSOCIATION 

                   1. The Association shall have a Seal (i.e. a rubber stamp) which shall be kept in   the custody of the President or the Secretary of the
                   Association. 

                   2. The Seal shall be affixed to an instrument where the Constitution or the    Association Rules so provide and to any other instrument
                   whenever    necessary or appropriate.
